יותר ויותר חברות ישראליות שנסחרות בבורסה לניירות ערך בתל-אביב בוחנות את האפשרות להירשם למסחר בארה"ב, בדגש על נאסד"ק, באמצעות American Depositary Receipts או ADRs. במיוחד ניכרת מגמה שכזו בקרב חברות בתחום הביו-מד הישראליות.
בשנתיים האחרונות אנו עדים לגל הנפקות בבורסה לניירות ערך בתל אביב בע"מ של חברות פרטיות זרות, המגייסות הון בדרך של אג"ח, במיוחד בתחום הנדל"ן.
לאחרונה אושרו בוועדת חוקה, חוק ומשפט מספר הקלות לחברות ציבוריות, במסגרת הליך להקלה ברגולציה לחברות ציבוריות, שעיקרן להלן:
ביום 4 ביולי 2016, פרסמה הרשות לניירות ערך עמדה משפטית, בנוגע לפרשנות סעיפי הפטור והחריגים מהצעה ומכירה של ניירות ערך לציבור (סעיפים 15א ו- ב לחוק ניירות ערך, התשכ"ח- 1968 (להלן: "החוק")).
מסגרת צעדי הרשות לניירות ערך לשכלול שוק ההון הישראלי ושיפור הנזילות בבורסה, יובאה מארה"ב שיטת At the Market Offering המאפשרת לחברות, הנסחרות בבורסה בתל אביב בע"מ ("התאגידים"), לבצע מכירה של ניירות ערך שלהן בשוק המשני (במסגרת המסחר בבורסה) ("מנגנון ה-ATM ").
אחד המקורות המקובלים למימון הפעילות השוטפת של החברה הוא השקעת הון על ידי בעלי המניות בה, או על ידי משקיעים חדשים המעוניינים להזרים מימון לחברה כנגד הקצאת מניות בה.
במסגרת צעדי הרשות לניירות ערך לשכלול שוק ההון הישראלי וקידום השקעות בחברות הציבוריות בתחום המחקר והפיתוח, פרסמה הרשות תזכורת אודות מגוון ההקלות וההטבות שהוסדרו בדין, במהלך השנה האחרונה, לחברות מחקר ופיתוח פרטיות הבוחנות הליך הנפקה ראשונה לציבור של מניותיהן בבורסה לניירות ערך בתל אביב ("הבורסה"), כמו גם למשקיעים פוטנציאלים בחברות אלה.
