ADR

An increasing number of Israeli companies traded on the Tel Aviv Stock Exchange are considering US listings, particularly on NASDAQ, through American Depositary Receipts (ADRs). This trend is particularly noticeable among Israeli companies engaged in the life sciences field.

 

ADRs provide Israeli companies access to the US capital markets at a lower cost than traditional IPOs, making it possible to gradually build a market and attract investors to follow the performance of the companies. Such exposure can lead up to equity financing on the US capital markets, and ADRs can also be used as currency in international M&A transactions.

 

The Corporate and Capital Markets department specializes in preparing companies for ADR trading, including drafting and filing prospectus and dealings with the US Securities and Exchange Commission (SEC), and advising public companies, directors and officers, on all aspects of disclosure and reporting obligations and compliance with the SEC Rules.
