Adv. Shy Baranov is a partner and the head of the firm’s International Department.

 

Mr. Baranov has extensive experience advising and representing Israeli companies with activity in the U.S., or that wish to expand their local activity into the U.S. market.

 

Mr. Baranov had worked for nearly 7 years at the firm’s offices in Boston, gaining practical experience and in-depth knowledge of U.S. law in general, and U.S. securities law in particular, including public and private debt and equity financing, and representing Israeli companies operating in the U.S. in diverse sectors including life sciences. Mr. Baranov is a member of the New York State Bar Association.

 

In 2013 Mr. Baranov returned to the firm’s Tel Aviv offices and established the International Department, which provides a complete package of legal services to Israeli companies transacting in the U.S., as well as to U.S. companies with respect to their activity in Israel.

 

Mr. Baranov is also a senior member of the Securities and Corporate Finance Team under the firm’s U.S. Securities Department.

 

 

Expertise and Practical Experience

 

Mr. Baranov specializes in U.S. corporate and securities law, with particular experience handling complex issues such as reporting obligations, sale of shares by interested parties, compliance with NASDAQ, FINRA, SEC requirements, and representing Israeli and U.S. clients versus said authorities.

 

Advising companies on compliance with the Foreign Corrupt Practices Act (FCPA).

 

Specific expertise representing investment banks and underwriters on a wide range of financing transactions in the U.S., including initial public offerings (IPOs), follow-on offerings, ATM, PIPE and other kinds of transactions.

 

Extensive experience representing and advising Israeli companies acquiring U.S. companies, establishing activity and joint ventures in the U.S., as well as ongoing and comprehensive representation on various aspects of activity in the U.S.

 

Expertise advising companies in sectors such as life sciences, software, hardware, manufacturing and services.
